These Terms and Conditions govern your use of Sukulu, provided to you by Cinfores Limited. By downloading, accessing, or using the software, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the software.


Definition of Terms

  • Sukulu: Sukulu is a play on the word ‘School’. It is a pidgin adaptation.
  • User-generated Content: This refers to all content curated and uploaded on the Sukulu platform by users for business purposes.
  • User-generated Content Provider: This refers to external content curators that upload their content on the Sukulu platform for business purposes.
  • Rights: Rights are legal, social, or ethical principles of freedom or entitlement.
  • Intellectual property: Intellectual property encompasses mental creations like inventions, literary, and artistic works, designs, symbols, names, and images used for commercial purposes. Intellectual property rights grant the creator or owner exclusive control over the use of their creations or innovations for a specified period.
  • Termination Clause: A termination clause is a provision included in a contract or agreement that outlines the circumstances under which either party can legally end the agreement before its designated end date. It essentially defines the "exit strategy" for both parties involved.
  • Modification and Updates: Modification and updates are deliberate changes made to a software program, hardware component, or system. These changes alter the functionality, appearance, or behavior of the original item to often address bugs, security vulnerabilities, or introduce minor improvements.
  • User Restrictions: These are limitations placed on how a user can interact with a system or software. These limitations are often implemented to enhance security and improve efficiency.
  • Privacy Policy: A Privacy Policy is a legal document that outlines how a company or organization collects, uses, and discloses user information. It is designed to be transparent about data practices and give users control over their personal information.
  • Liability Limitations: Liability limitations refer to clauses within contracts or agreements that aim to restrict the amount of financial responsibility a party can be held liable for in case of problems or damages.
  • Law: Law refers to a system of rules, regulations, and principles established by a governing authority to regulate behaviour within a society. It serves as a framework for maintaining order, resolving disputes, protecting rights, and promoting justice.
  • Payment: Payment refers to the transfer of money, goods, or services from one party to another in exchange for goods, services, or the fulfillment of an obligation.
  • Fee Changes: Fee changes refer to alterations or adjustments made to the charges or fees associated with a particular product, service, or transaction. These changes can include increases, decreases, or modifications to existing fees, as well as the introduction of new fees.
  • Dispute Resolution: Dispute resolution refers to the process of resolving conflicts, disagreements, or disputes between parties in a fair, efficient, and amicable manner. It involves identifying the issues in contention, facilitating communication and negotiation between the parties, and reaching a mutually acceptable resolution.
  • Acceptance of Terms: Acceptance of Terms refers to the agreement or consent given by an individual or entity to abide by the Terms and Conditions outlined in a contract, agreement, or legal document.

Business

Sukulu is a reward-based educative game platform owned by Cinfores Limited whose registered office is at Plot 60. Prof. T. N Okujagu Road, Port Harcourt, Rivers State, Nigeria.

Some of the objectives of the Sukulu Platform include to:

  1. Create a comprehensive digital platform that combines high-quality educational content with earning opportunities.
  2. Allow users earn rewards as they progress through series of challenges - based on their performances, amongst others.

The name Sukulu is a play on the word ‘School’. It is a pidgin adaptation.


Scope of Service

The Sukulu Learn and Earn platform leverages the BrainFriend e-learning software and various user-generated content by incorporating contents on education, arts/entertainment, health/fitness, science and technology, lifestyle, career/business, family/relationship, sports/recreation, religion/spirituality, finance, and others.

This platform provides the following features and benefits:

  • Content from diverse fields, including STEM, humanities, languages, and vocational training, among others, in form of e-books, videos, and other hybrid styles of content delivery.
  • Gamified elements, where learners earn points, badges, gift items, or monetary rewards for completing modules, passing assessments, or achieving certain milestones.
  • Peer interaction, collaborative learning, and mentorship programs.
  • Personalized learning and tournament sessions.

Rights

The software is owned and operated by Cinfores Limited. By using the software, you acknowledge and agree that all content, including but not limited to books, videos, educational games, activities, and prizes, are the property of Cinfores Limited and her User-generated Content Providers. These rights are protected by copyright and other intellectual property laws.

Furthermore, other User-generated Content Providers may upload their content into the software in line with the company’s Terms and guidelines. Any uploaded content remains the property of the respective User-generated Content Providers, subject to the Terms and Conditions set forth by Cinfores Limited.

Intellectual Property

All intellectual property rights in Sukulu, including but not limited to copyrights, trademarks, and patents, are owned by Cinfores Limited and its various User-generated Content Providers. We grant you a limited, non-exclusive, non-transferable license to use the software for its intended educational and other authorized purposes. Copying, imitating, modifying, or utilizing the content without prior written consent from Cinfores Limited and its User-generated Content Providers is strictly prohibited.

Additionally, all page headers, customized graphics, button, icons, scripts, texts, formatting, website arrangement, graphics, animation, tools, adverts, videos, articles and other information are trademarks of Sukulu and its User-generated Content Providers. All of these are subject to the intellectual property rights of Sukulu and its User-generated Content Providers.

You may use the official logo we provide to create a link that directs users to our website to help drive traffic to our services. The design, colours, and fonts of the logo are not to be altered in any way. The logo should not be used to misrepresent what Sukulu sponsors or endorses.

Modification and Updates

We reserve the right to modify, suspend, or discontinue the software or any part thereof at any time without prior notice. We also reserve the right to update these Terms from time to time. Your continued use of the software after any modifications to the Terms constitutes acceptance of those changes.


User Restrictions

These restrictions are in place to ensure the integrity and security of the software and its Users. Failure to comply may result in the termination of your account and access to the software.

In using the software, you must adhere to the following restrictions:

  • You are prohibited from sharing, reproducing, distributing, or modifying any content from the software without prior written consent from Cinfores Limited.
  • You must not engage in any activities that may disrupt or interfere with the functioning of the software, including but not limited to hacking, spamming, or uploading malicious content.

Additionally, you agree not to:

  • Use the software for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any portion of the software or its related systems or networks.
  • Reverse engineer, decompile, or disassemble any part of the software.
  • Transmit any viruses, worms, or other harmful code through the software.
  • Share your account credentials with others or allow unauthorized access to your account.

Policy

The software offers a range of study content, tournaments, games, and activities crafted to enrich learning across different subject areas. Users have the opportunity to engage in tournaments to earn prizes. It is important to note that Cinfores Limited retains the right to modify, update, or remove any content or features of the software at any time without prior notice. By using the software, you are agreeing to adhere to our Privacy Policy, which governs the collection, use, and disclosure of your personal information.

The information we collect

  • We collect information about you when you register, create account or modify your profile, set preferences, claim rewards/Kulu Coins.
  • We also collect and store content that you post, send, receive and share on our platform. This content includes any information about you that you may choose to include.
  • We collect information about you through our support channels. The service also includes our customer support, where you may choose to submit information regarding a problem you are experiencing while using the software.
  • We collect information about you from third party providers of business information and publicly available sources (like social media platforms), including physical mail addresses, job titles, email addresses, phone numbers, intent data (or user behaviour data), lP addresses and social media profiles, for the purposes of targeted advertising of products that may interest you, delivering personalized communications, event promotion, and profiling.

Where we retain information for service development and improvement, we take steps to eliminate information that directly identifies you; we will only use the information to uncover collective insights about the use of our service and not specifically to analyse personal characteristics about you.
  • You have the right to request a copy of your information, to object to our use of your information (including for marketing purposes), to request the deletion or restriction of your information.
  • If you no longer wish to use our service, you can deactivate your service account.

Administrators access

Administrators can do the following:

  • Require you to reset your account password
  • Restrict, suspend or terminate your account access in case of bridge of use.
  • Access information in and about your account.
  • Access or retain information stored as part of your account.
  • Install or uninstall third-party apps or other integration.
  • Restrict your ability to edit, restrict, modify or delete any information.

  • Cancellation Policy: Cinfores understands that change is constant, so we've designed a cancellation policy that's fair and transparent. This means that you can cancel your subscription at any time, with no hidden fees or penalties. Simply navigate to your account settings, and with a few clicks, your subscription will be canceled.
  • Renewal Policy: To ensure uninterrupted access to our software, we offer hassle-free renewal options. Users can choose automatic renewal for convenience or opt for manual renewal if they prefer more control. We notify users well in advance of their renewal date, allowing ample time to make any necessary adjustments.

Also, we may offer discounts, promotions, or loyalty programs to returning customers of over one year. Do note that Terms and Conditions will apply.


Termination Clause

Cinfores Limited reserves the right to terminate or suspend access to the software for any user who violates these Terms and Conditions or engages in any prohibited activities. Such termination or suspension may result in the loss of access to account information, earned prizes, and any other associated data. By using the software, you agree to abide by these Terms and Conditions, our User Restrictions, Policy, and Termination Clauses. Failure to comply may result in the termination of your account and access to the software. Upon termination, all rights granted to you under these Terms will cease immediately.


Limitations

To the fullest extent permitted by law, the following applies:

  • We are not liable for certain damages that may arise while using the software; this includes direct, incidental, consequential, lost profits, reputation (goodwill), data, or other intangible losses, regardless of how you use the software.
  • We understand that updates, maintenance, and unforeseen outages can happen. In these cases, we will not be accountable for any inconvenience caused by the software's unavailability. You will be notified in advance in the event of any planned maintenance or updates.

Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any dispute arising out of, or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Nigeria. This means that, any legal issue, dispute or agreement that may arise in course of using our services can only be initiated and addressed in a Nigerian court with competent jurisdiction and the judgement arising from such court will be binding on all parties involved.


Warranties and Disclaimers

Sukulu is provided “as- is” and “as available” without any warranties of any kind, whether express, implied or statutory. Sukulu specifically disclaims any warranties or representations on accuracy or completeness, for a particular purpose and non-infringement of the content provided on the software platform. Sukulu is committed to providing secure and quality services. However, Sukulu does not guarantee continuous, uninterrupted or secure access to any aspect of the Sukulu services and operations of our website, software or systems (this is inclusive of any networks and servers utilized in provision of any of the services of Sukulu) in operation by us or on our behalf could experience interference due to numerous factors outside of our control. Sukulu will make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts and debit cards are processed in a timely manner, but Sukulu makes no representations or warranties regarding the amount of time needed to complete processing because the services are dependent upon many factors outside of our control.

We will not be responsible for any loss, liability, injury, expense or damage (whether direct, indirect, incidental, punitive or consequential) of any nature, arising from negligence suffered by any person who accesses, uses or relies on the Sukulu website or any linked websites.


Payment

Sukulu contains certain features which require payment to be made. If and when you are required to make a payment for access or use you will be agreeing to comply with the Payment Terms provided at the time of purchase.

In the event of indication of interest to purchase a product or service on Sukulu, it might be required of you to provide certain information relevant to your purchase including, however, not limited to a credit and or debit card number, the expiration date of the credit or debit card, billing address and other relevant information to the purchase.

Consequently, you attest and agree to the following:

  1. You have legal right to use any credit or debit card(s) or other payment methods utilized in connection with any purchase made.
  2. All information supplied is authentic, accurate, and complete.

In the event of Sukulu employing the services of a third party for the sole aim of facilitating payment and completion of purchases, submitting your information would be in consent to afford the third-party access to information under the premise of our Privacy Policy.

We reserve the right of refusal or cancellation of your transactions based on suspicion of a fraudulent, unauthorized or otherwise illegal transaction.

Reversal of processing fees are unavailable and products purchases are deemed to be final upon completion of transaction.


Contests, Sweepstakes, and Promotions

Due to the uniqueness of the Sukulu software, contests, sweepstakes or other promotions held herein may be governed by rules which are independent of these Terms. Hence, in participation in any promotions, please kindly review the rules applicable alongside our Privacy Policy. In the event that the rules for a promotion conflict with these Terms, the promotion rules would apply and take precedence.

Verification of your identity in order to access certain services may be required. A request of your banking details, a Valid ID and/or proof of address would be required of you to provide. By so doing, your consent is given to us to share these details with secure verifying agencies and databases. Your permission is granted to us where required to submit these details to regulatory government agencies.


Fee Changes

Sukulu reserves the right at its sole discretion and at any time, make modification to Subscription fees for the subscriptions. Subscription fee change shall become effective at the end of the subsisting billing cycle.

Sukulu commits to provision of reasonable prior notice of any change in subscription fees to give you an opportunity to terminate subscriptions prior to effecting such changes. Continued use of Service after a subscription fee change has been introduced constitutes an implied consent to paying the modified Subscription fee amount.

Dispute Resolution

Resolution of disputes as it concerns the use of Sukulu is very important as it involves multiple parties, such as Cinfores, its clients, and third-party vendors or contractors. In the event of a disagreement regarding these Terms, the arbitration will be conducted confidentially under a neutral arbitrator chosen by both parties. The decision of the arbitrator will be made known to both parties.

Some possible types of disputes that may arise from using Sukulu are:

  • Contractual disputes
  • Intellectual property disputes
  • Performance disputes
  • Regulatory and compliance disputes, etc.

Some possible dispute resolution methods that will be used are:

  • Negotiation: Direct communication between parties to resolve disputes amicably. This will take not more than thirty (30) days from the time of dispute filing.
  • Mediation: Facilitated negotiation with the assistance of a neutral third-party mediator. This will take not more than thirty (30) days from the time of dispute filing.
  • Arbitration: A private, binding decision made by an impartial arbitrator or panel of arbitrators. This will take not more than thirty (30) days from the time of dispute filing.

General Disclaimer

While we strive to offer a high-quality learning and earning experience, we do not guarantee specific outcomes or results from using our software. Earning rewards is contingent upon individual performance and participation.

By using Sukulu, you acknowledge and agree to these Terms and Conditions. We encourage you to review this document periodically for any updates or changes.

Cinfores reserves the right to modify or amend these Terms and Conditions at any time without prior notice.

While we have made every attempt to ensure that we capture all necessary information needed for the use of the Sukulu software, Cinfores Limited is not responsible for any errors or omissions, or the way users choose to interpret the information herein; hence, will not be held liable for damages that arise out of them.
